Upgrading from 3.4 to 4.x

I am just beginning the process of upgrading and I would like to confirm
some things:

1. If I install the new version into the old location folder, will I have
2 versions running or will Fund Manager overwite the older version resulting
in just the new version? My goal is to have only the new version running.

2. Similar to the goal in point one, in the case of the upgrade, is it better
to uninstall the version 3.4 and then install version 4.x or will Fund Manager
recognize the previous install and 'take care of things'?

I have back ups of all the data files, just trying to get a clean install.
